This website privacy policy (the "Policy") applies to the collection, use and disclosure of personal information obtained via TN's corporate website located at terranexum.com (the "Website"). For the purposes of this Policy, “personal information” means information about an identifiable individual, but does not include statistical or aggregated information, or business contact information that TN uses solely for the purpose of communicating or facilitating communication with you in relation to your employment, business or profession. By using the Website, you are consenting to the terms and conditions set forth in this Policy, including without limitation the collection, use and disclosure of your personal information by TN as outlined in this Policy.

Electronic Personal Information

We take all reasonable precautions to ensure the protection of personal information, collected, used or disclosed on the Website using physical, organizational and technological measures. These include the operation of secure data networks protected by industry standard firewalls and password protection systems to ensure such personal information is kept safe from loss, copying, unauthorized access, modification or disclosure. The safeguards applied will depend on the sensitivity of the personal information, with the highest level of protection given to the most sensitive information. However, individuals should consider that no information transmission over the Internet is completely secure.

We may use cookies on the Website. "Cookies" are small text files that recognize repeat visitors and track their visits to the Website. Specific browser manufacturers or providers should be consulted with respect to disabling cookies.

We may use clear gifs. "Clear gifs" are used to track the pages visited on the Website to help us improve the design and content of the Website. All of this information is considered confidential and is only available for our use.

We may monitor traffic patterns, Website usage and related Website information in order to optimize the Website.

The Website may contain links to third party sites, as well as other sites of our affiliates and subsidiaries. We are not responsible for the privacy policies of any third party sites, and the privacy policies of our affiliates and subsidiaries may differ from this Policy. Consent

Except as expressly provided in this Policy or as otherwise permitted by law, we cannot collect, use, or disclose the personal information of an individual without the appropriate form of informed consent from that individual. Consent may be express or implied. Where the personal information is sensitive in nature, we will provide the individual in question with a clear written, oral or electronic description of our reason for collecting, using, or disclosing the information. We will not collect, use, or disclose the information until we have obtained written consent to do so from that individual. Where the personal information is not sensitive in nature and it is reasonable to expect that the nature, purpose and consequences of the collection, use, or disclosure would be clear to the individual, an individual will be deemed to consent to our collection, use, or disclosure of the information when the individual provides that information to us freely.

Unless required by law or otherwise authorized by the Act, or all other applicable privacy laws, we will not use or disclose personal information already collected for other purposes unless we obtain the consent of the individual to whom it belongs. Generally, we will seek consent to use and disclose personal information at the same time as we collect the information.

Subject to contractual or legal arrangements, individuals may change, withdraw or refuse consent to the collection, use and/or disclosure of their personal information by providing notice to the contact person identified above, at the email address provided. We will inform the individual of the consequences of withdrawing his/her consent, if any.

Collection

We will only collect personal information for the specific purposes that we have identified, and that are reasonable and necessary in the circumstances. We will try to collect personal information directly from the individual concerned unless authorized by that individual to collect it from a third party or otherwise as permitted by the Act. Personal information will always be collected using means that are fair and lawful.

Use, Disclosure, and Retention

We will only use or disclose personal information for the specific purpose(s) for which it was collected, except with the consent of the individual or as required by law.

Personal information may be used for the following purposes:

Communications.  We will use the contact information we have about you to perform any requested Services. If you are a customer, we may communicate with you using the contact information we have about you (e.g. using email, phone, text message or videoconference) to provide information about our Services and our affiliates’ services, invite you to participate in our events or surveys, or otherwise communicate with you for our marketing purposes, provided that we do so in accordance with applicable law, including any consent or opt-out requirements.

Fraud Prevention and Security. We collect and use Personal Data to help us to detect and manage the activity of fraudulent and other bad actors across our Services, to enable our fraud detection Business Services, and to otherwise seek to secure our Services and transactions against unauthorized access, use, modification or misappropriation of Personal Data, information and funds.

Compliance with Legal Obligations.  We use Personal Data to meet our contractual and legal obligations related to anti-terrorism, export control, and prohibitions on doing business with restricted persons or in certain business areas, and other legal obligations. We strive to make our Services safe, secure and compliant, and the collection and use of Personal Data is critical to this effort.

Minors.  The Services are not directed to minors, including children under the age of 13, and we request that they do not provide Personal Data through the Services. In some countries, we may impose higher age limits as required by applicable law. We do not sell any Personal Data of Customers, Representatives, or Visitors, including those aged between 13 to 16.

Personal information may be shared for the following purposes:

Service Providers or Processors.  In order to provide Services to our Customers and to communicate, market and advertise to Visitors, Representatives and Customers regarding our Services, we may rely on others to provide us services.  Service providers provide a variety of critical services, such as hosting (storing and delivering), analytics to assess the speed, accuracy and/or security of our Services, identity verification, customer service, email and auditing. We authorize such service providers to use or disclose the Personal Data of our Users that we make available to perform services on our behalf and to comply with applicable legal requirements. We require such service providers to contractually commit to protect the security and confidentiality of Personal Data they process on our behalf. Our service providers are predominantly located in the United States of America, Canada, and the European Union.

Others with Consent. In some cases we may not provide a service, but instead refer you to, or enable you to engage with, others to get services (e.g. professional services firms that we partner with to deliver energy and carbon transition-related project development).  In these cases, we will disclose the identity of the third party and the information that will be shared with them, and seek your consent to share the information.

Corporate Transactions. In the event that we enter into, or intend to enter into, a transaction that alters the structure of our business, such as a reorganization, merger, sale, joint venture, assignment, transfer, change of control, or other disposition of all or any portion of our business, assets or stock, we may share Personal Data with third parties in connection with such transaction. Any other entity which buys us or part of our business will have the right to continue to use your Personal Data, but subject to the terms of this Policy.

Compliance and Harm Prevention. We share Personal Data as we believe necessary: (i) to comply with applicable law, (ii) to comply with rules imposed by payment method in connection with use of that payment method (e.g. network rules for Visa); (iii) to enforce our contractual rights; (iv) to secure or protect the Services, rights, privacy, safety and property of TerraNexum, you or others, including against other malicious or fraudulent activity and security incidents; and (v) to respond to valid legal process requests from courts, law enforcement agencies, regulatory agencies, and other public and government authorities, which may include authorities outside your country of residence.

Personal information may be disclosed for the following purposes: 

a. to a person who in our reasonable judgment is seeking the information as an agent of the individual;    
b. to a company or individual engaged by us, to perform functions on our behalf, such as research or data processing, or for the development, enhancement, marketing or provision of any of our products or services; provided that we will provide such parties only with the information needed to perform the function, and will use appropriate contractual or other means to provide a comparable level of protection while the information is being used by them;    
c. to our affiliates, who may only use it in accordance with this Policy;    
d. to a credit reporting agency;    
e. to another entity as part of a merger, a sale of assets or all or part of a business, or any other corporate change or re-organization;    
f. to a public authority or agent of a public authority, if in our reasonable judgement, it appears that there is imminent danger to life or property which could be avoided or minimized by disclosure of the information;    
g. when such use or disclosure is clearly in the interests of the individual and consent cannot be obtained in a timely way;    
h. where the individual concerned consents to such use or disclosure;    
i. when such use or disclosure is required or authorized by law;    
j. when it is reasonable to expect that the use or disclosure with the consent of the individual would compromise the availability or the accuracy of the personal information and the collection, use or disclosure is reasonable for an investigation or a proceeding; and    
k. when we require legal advice from a lawyer.

We will retain personal information only as long as necessary to fulfill the purposes stated above, as required for legal or business purposes or as required by law. Subsequently, we will destroy, erase, or make anonymous such information. However, we will retain, for at least one year, personal information that has been used to make a decision about a client, customer or employee.

Accuracy of Personal Information

We will make reasonable efforts to ensure that personal information in our control is accurate and complete. Individuals may request corrections to their personal information. If we reject an individual’s request for a correction, we will make a notation of such request and rejection on the individual’s file or personal information.

Safeguarding Personal Information

We will protect personal information in our control against loss, destruction or theft and against unauthorized access, disclosure, copying, use or modification. We use security safeguards that are appropriate to the sensitivity and format of the personal information in question.

Personal Data is only accessed by a limited number of personnel who need access to the information to perform their duties. Unfortunately, no data transmission or storage system can be guaranteed to be 100% secure.

To help us protect personal data, we encourage you to use a strong password and never share your password with anyone or use the same password with other sites or accounts. If you have reason to believe that your interaction with us is no longer secure (e.g. you feel that the security of your account has been compromised), please contact us immediately.

Access

Upon reasonable written notice from an individual, we will, within 30 days or such period required or authorized by law, provide the individual with access to his/her personal information under our control and tell the individual what the information is being used for and to whom it has been disclosed.

We reserve the right to charge a reasonable fee for providing such access to personal information.

In certain situations, we may not be able to provide access to all personal information about an individual under our control. For example, we may not provide access to information if doing so would likely reveal personal information about a third party or could reasonably be expected to threaten the life or security of an individual. Also, we may not provide access to information if the request is frivolous or vexatious, if disclosure would reveal confidential commercial information, if the information is protected by solicitor-client privilege, if the information was generated in the course of a formal dispute resolution process, or if the information was collected in relation to the investigation of a breach of an agreement or a contravention of a law.

If we refuse an individual’s request for access, we will notify the individual in writing and will document the reasons for refusal, the relevant provision of the Act on which we rely and the remedies available to the individual.

Complaints

An individual who has complaints about how his/her personal information is being handled by us, and/or our compliance with this Policy, may file a written complaint with our designated representative at the contact address listed above. Such complaint must clearly state the nature of the complaint and contain all necessary contact information for the complainant.

We will acknowledge receipt of a complaint, investigate such complaint and notify the complainant of the outcome of the complaint, including any relevant steps taken.

If a complaint has not been resolved to the satisfaction of an individual, he/she may seek redress from the Office of the British Columbia Information and Privacy Commissioner.

International Transfer and Storage of Information

An individual’s personal information may be transmitted, transferred, processed and/or stored outside of the United States. We will use reasonable means to ensure that personal information is protected, but cannot guarantee that the laws of any foreign jurisdiction will accord the same degree of protection as the laws of the United States. By submitting personal information to us, an individual consents to the transmission, transfer, processing and/or storage of his or her personal information outside of the United States.
